Terms of Service

These Terms of Service ("Terms") govern your access to and use of the products and services provided by WOW Enterprises LLC ("WOW", "we", "us"), including Wow ERP, Wow Food, Wow Games, Wow Wholesale, the websites at wowenterprisesllc.com and any subdomains, and any related APIs, integrations, and tools (collectively, the "Services").

By using the Services you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old (or the legal age of majority in your jurisdiction) and able to form a binding contract. If you sign up on behalf of a company, you represent that you have authority to bind that company to these Terms.

2. Account responsibilities

• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity that occurs under your account.
• Notify us immediately at [email protected] if you suspect unauthorized use.
• You agree to provide accurate and current information when registering.

3. Acceptable use

You agree NOT to:

• Use the Services to send unlawful, harassing, defamatory, or infringing content
• Send unsolicited bulk communications ("spam") through any integrated channel (Email, SMS, Messenger, WhatsApp, etc.)
• Reverse engineer, decompile, or attempt to extract source code from the Services
• Probe, scan, or test the vulnerability of any system without prior written authorization
• Interfere with or disrupt the integrity or performance of the Services
• Use the Services to violate any law, regulation, or third-party right
• Impersonate any person or entity, or misrepresent your affiliation with any party

We may suspend or terminate accounts that violate these rules.

4. Subscriptions, billing, and refunds

• Paid Services are billed in advance on a recurring basis (monthly or annual).
• Fees are non-refundable except where required by law or where we explicitly agree.
• You authorize us to charge the payment method on file at each renewal until you cancel.
• You can cancel at any time through your account billing settings; cancellation takes effect at the end of the current billing period.
• Failure to pay may result in service suspension after reasonable notice.

5. Your data & content

You retain ownership of all data, content, and intellectual property you upload to or generate within the Services ("Your Content"). You grant us a limited license to host, process, and display Your Content solely as necessary to provide the Services.

You are responsible for ensuring you have the right to upload, send, or process Your Content (including the right to send marketing communications to recipients).

6. Third-party integrations

The Services let you connect to third-party platforms (Slack, Google Workspace, Notion, Meta Business, Twilio, Telegram, Discord, etc.). When you authorize an integration:

• Your use of the third-party platform remains governed by that platform's own terms
• We act on your behalf only within the scope you grant during OAuth
• You may revoke access at any time from within the integrated platform's settings or from Wow ERP
• We are not responsible for outages, billing, or behavior of the third-party platform itself

7. Intellectual property

The Services, including all software, designs, logos, and trademarks, are owned by WOW Enterprises LLC or its licensors. You receive only the limited right to use the Services as expressly permitted in these Terms. No other licenses are granted by implication or otherwise.

8. Confidentiality

Each party agrees to protect the other's confidential information with the same degree of care it uses for its own (and at least reasonable care). Confidential information does not include information that is already public, independently developed, or rightfully received from a third party without restriction.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING (BUT NOT LIMITED TO) THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WOW ENTERPRISE LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold WOW Enterprises LLC harmless from any claim, liability, or expense (including reasonable legal fees) arising out of (a) Your Content, (b) your use of the Services, (c) your violation of these Terms, or (d) your violation of any third-party right.

12. Termination

• You may terminate your account at any time from your account settings.
• We may suspend or terminate your account for violation of these Terms or extended non-payment, after reasonable notice where practical.
• Upon termination, your right to use the Services ends immediately. We will retain or delete data per the Privacy Policy.
• Provisions that by their nature should survive termination (sections 5, 7, 9, 10, 11) survive.

13. Governing law & disputes

These Terms are governed by the laws of the United States and the State of WOW Enterprises LLC's principal place of business, without regard to conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located there, and you consent to that exclusive jurisdiction. If a dispute is otherwise unavoidable, the parties first agree to attempt good-faith negotiation for 30 days before litigation.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced through the Services or by email at least 30 days before they take effect. Your continued use after the effective date constitutes acceptance.

15. General

• If any provision is held unenforceable, the rest remains in effect.
• Our failure to enforce a right is not a waiver of that right.
• You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
• These Terms (with the Privacy Policy and any service-specific addenda) constitute the entire agreement between you and us regarding the Services.

16. SMS / Text Messaging

By providing your mobile number and checking an opt-in box during sign-up, in account settings, at a Wow ERP point-of-sale terminal, or when enabling phone-based two-factor authentication, you consent to receive SMS / text messages from Wow ERP (a service of WOW Enterprises LLC).

16.1 Programs & message types

Depending on the features you use and the consent you give, the SMS messages you may receive include:

• Account & security notifications — sign-in alerts, password changes, two-factor authentication (2FA) one-time codes
• Operational notifications — order confirmations, invoice and payment reminders, low-stock alerts, appointment / shift reminders
• Service announcements & occasional marketing — only when you have separately opted in to marketing

16.2 Frequency

Message frequency varies based on your activity in the platform. A typical user receives a small number of messages per week.

16.3 Message & data rates

Message and data rates may apply per your mobile carrier's plan. We do not charge you separately for SMS messages. Wow ERP and WOW Enterprises LLC are not responsible for messaging charges levied by your mobile carrier.

16.4 Opt-out (STOP)

You may opt out of non-essential SMS messages at any time by:

• Replying STOP (or STOPALL, UNSUBSCRIBE, CANCEL, END, QUIT) to any message — you will receive one confirmation message and no further non-essential SMS
• Removing your phone number or disabling SMS in your Wow ERP account settings

Transactional, security, and 2FA messages necessary to operate your account may continue while your account remains active. To stop those as well, close the account.

16.5 Help (HELP)

16.6 Carrier disclaimer

Mobile carriers (including but not limited to AT&T, T-Mobile, Verizon Wireless, US Cellular, and their MVNOs) are not liable for delayed or undelivered messages.

16.7 Privacy

How we collect and use your mobile phone number and SMS opt-in data — and our commitment that mobile information is never shared with third parties or affiliates for marketing or promotional purposes — is described in Section 13 of our Privacy Policy.

16.8 Eligibility & geography

SMS programs are available to subscribers in the United States who have provided express consent. You must be the account holder of the mobile device or have authorization to incur charges on it. You must be 18 or older.
